The material appearing on the websites https://www.badassempires.com and badassempires.mykajabi.com (this “Site”) is provided as either information about Badass Empire's events, people, courses, programmes and stories, or as a platform for online connection and community. The owner of this Site (Badass Empires), Rosie McCarthy and its directors, agents, employees and affiliates assume no responsibility or liability for any consequences resulting directly or indirectly from any action or inaction you take based on the information found on or material linked to on this site.

Any information by or on this Site is provided for promotional or informational purposes only and is not to be relied upon as a professional opinion whatsoever. By using this Site, you accept and agree that following any information or recommendations provided therein is at your own risk.

Please read carefully! Your access to and use of this Site is subject to legally binding terms and conditions which you accept and agree to by accessing this Site.

The following terms and conditions form a binding agreement (“Agreement”) between you and Badass Empires, a company registered in New Zealand. Badass Empires may modify, amend, supplement and replace these terms and conditions at any time without advance notice. Your continued use of this Site after any change means you have accepted the changed terms and conditions.

1. Copyright.

All materials created by Badass Empires on the Site are protected by global copyright laws as original works. The absence of a registered copyright symbol does not mean that such materials are not protected as belonging to Badass Empires.

This protection extends worldwide, and any person found to be fully or partially using BadassEmpires graphics, text found anywhere across email, website or social media, or content including PDF guides and course materials, will be deemed guilty of copyright infringement and becomes eligible for legal pursuit.

Remember, copyright law protects the creator’s fundamental right to decide how their work will be used. Even adaptations, or original creations heavily inspired by Badass Empires works, will be pursued by all legal measures available. The person misusing the materials will also be named and called out publicly on any / all social media channels if they refuse the opportunity to delete any and all content or services associated with the stealing of intellectual property. 

2. Links to Third Party Websites.

This Site may contain links to third party websites. All such linked sites, materials and pages are not under the control of Badass Empires and Badass Empires is not responsible for the content contained in any linked website nor for any losses or damages you may incur as a result of the use of any such website. Badass Empires accepts no liability for any errors or omissions contained in third party websites. These links are provided to improve your use of the Site, enable you to connect with Badass Empires on various platforms, and help Badass Empires offer the easiest services for you and conduct transactions.

3. Intellectual Property Ownership.

All content provided on the Site and in any Digital Products, including but not limited to podcast materials, blog posts, free resources, online courses, resources shared in coaching calls and communities, and other downloadable materials, are the intellectual property of Badass Empires and are protected by applicable laws. By accessing these materials, you are granted a revocable, non-exclusive license to download and use copies for personal, non-commercial, transitory viewing only. This is the grant of a license, not a transfer of title, and under this license, you may not:

• Modify or copy the materials;
• Use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
• Transfer the materials to another person or “mirror” the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Badass Empires at any time. Upon termination of your viewing of these materials or the license, you must destroy any downloaded materials in your possession, whether in electronic or printed format.

You are strictly prohibited from modifying, publishing, transmitting, participating in the sale of, creating derivative works from, distributing, displaying, reproducing, or performing, or in any way exploiting any content from the Site or Digital Products, in whole or in part, without explicit written consent from Badass Empires.

Consequences of Misuse

If Badass Empires discovers that you have illegally misappropriated or used any of our intellectual property, including but not limited to replicating the core ideas of any content or materials, even if translated into another language, you will be blacklisted from any future programs and will be subject to the full extent of legal remedies available. You will also be required to cover all legal fees necessary to enforce these rights. We reserve the right to immediately remove you, without refund, from any Course, Community, or Coaching Programme you have purchased if you are caught violating this intellectual property policy.

4. Testimonials.

We love to share your wins and successes inside our programmes. By signing up for our programmes and courses, you waive the right to anonymity and any testimonials including unofficial testimonials and words of praise via Instagram, LinkedIn, Youtube, TikTok, Apple Podcasts, Spotify, emails, within our paid programmes and direct messages with Rosie McCarthy all have the potential to be used on our marketing materials and/or any promotional efforts.

5. Our Refund Policy.

We do not offer refunds on any of our courses or coaching programmes, including pay in full and payment plan options. Please ensure you are 100% certain of your decision before investment in our products and services because there are zero exceptions to this rule excluding the below scenarios which are, even then, at complete discretion of Badass Empires LLC.

Private Coaching
Your purchase of a private coaching package indicates your commitment to show up and participate.

Once you have scheduled a coaching call, they are considered set appointments. Where necessary, you may request to reschedule a session, by giving at least 24 hours notice, and making up the session within the redemption period of your coaching package.

Any missed, rescheduled or cancelled coaching calls with less than 24 hours notice, or outside of the redemption period will be forfeited.

Calls for private coaching packages must be redeemed within the period of the coaching arrangement (i.e. if you purchase a 3 month coaching package, all calls must take place within 3 months of purchase).

It is the responsibility of the client to schedule in their coaching calls, with enough advance notice that they are able to secure times suitable to their timezone.

We do not offer refunds on private coaching packages. If calls aren’t booked within the redemption period, they will be forfeited.

Empire Era

No Pauses or Extensions: All clients in the Empire Era group coaching program acknowledge and agree that there are no pauses, extensions, or deferments of any kind permitted regarding coaching and community access, regardless of circumstances such as sickness, changes in personal or professional situations, or any other personal issues. Once enrolled, clients are expected to engage with the coaching calls and community within the designated time frame. Any decision to not participate in or make the most of the calls and community is the responsibility of the client. Course materials will remain accessible for the lifetime of the programme.

We have an "Empire Energy" Investment Match guarantee, backed by our 'do the work' policy. If you've followed our proven methodology from A-Z, fully implement the step-by-step strategies taught inside this programme, launch your target coaching offer within 6 months of your start date following the exact Empire Era methodology, and still haven’t made your inital investment into the programme back, we will keep coaching you for free via community and group call access until you do, for the lifetime of the programme.

To qualify for this extended coaching access, you must:

• Have completed all modules in Empire Era and implemented our feedback on core milestones of the programme including your niche, offer design, personal brand, strategy call design, and content plan.
• Can provide proof of posting at least 60 days of Empire Era quality content pieces (short-form videos and/or static posts) on social media, covering all content types taught inside the programme (both non-launch and launch specific content).
• Provide proof of consistent application our pricing guidelines and sales funnel implementation in your business.
• Reach out to us before your end date in Empire Era (6 months from date of purchase) to advise us that you would like to trigger the “Empire Energy” guarantee to receive extended coaching, with a summary of how you meet the above criteria.
• Have attended at least one call per month throughout your time in Empire Era, with evidence of a history of proactively asking questions in the community 

The extended coaching access concretely means that until you land a new role, you:

• Can continue to attend any live group coaching calls included in Empire Era 
• Can continue to participate in all community channels included in Empire Era 

The extended coaching access will come to an end when:

A) You have landed paying clients to the value of your investment in Empire Era

B) You no longer meet the criteria, for example:

• By choosing not to follow the recommendations of Badass Empires / your coaching team in your business strategy. An example of this would be not posting daily content on social media, not engaging with your community, choosing not to follow the Badass Empires methdology on any aspect of your business, choosing not to seek out clients within your audience. 
• By no longer participating in at least 1 coaching call per month live
• Not logging into the course platform for at least 30 days

6. Payment Plans.

Some of our programmes will have the option to either pay up-front in full or you can pay in monthly installments. Please note that for monthly payments, Stripe will automatically deduct the amount from the account information you provide Stripe. In the event your payment fails, you will not be able to access any of the information or content sold through our Site or any other of our courses, products or services (including both private and group coaching calls) until the issue is resolved. Registering for a payment plan represents an agreement to pay every monthly payment, and payment delays, pauses, adjustments or cancellations are not possible. In the event of three failed payments, you understand Badass Empires may be forced to contract a collection agency to collect the money from you.

7. No Guarantees.

We make NO GUARANTEES about any success that you’ll get from our Site, our programmes, coaching, courses or any of our free offers. We will do everything for you to succeed and will do our best to support you, but we make no guarantees and we can only control so much about your success. Client testimonials are for information and inspiration purposes only. You understand that Badass Empires makes no guarantees whatsoever regarding any results based on any action or inaction relating to your life, social media accounts, revenue, clients, or business based on the information we share or services we sell or share for free through the Site. At the end of the day, we will not be responsible or make any promises for what will happen in your life and business (including earnings, revenue, and social growth). Even if you’ve worked with us as client before and had certain results, we make no guarantee that will happen again. We cannot be any more clear about this: We care deeply about your success, but we make no promises regarding results and make no guarantees whatsoever.

We occasionally feature endorsements and testimonials from satisfied clients, which represent their personal experiences and achievements. These are not to be perceived as guarantees of identical outcomes. Instead, they are examples of what has been accomplished under our guidance and should be viewed as potential outcomes of dedicated application of our Services.

8. Entire Agreement.

These terms and conditions and any other legal notices, policies and guidelines of Badass Empires linked to these terms and conditions or contained on this Site constitutes the entire Agreement between you and Badass Empires relating to your use of this Site and supersedes any prior understandings or agreements (whether oral or written), claims, representations, and understandings of the parties regarding such subject matter. This Agreement may not be amended or modified except by Badass Empires.

9. Site Terms of Use Modifications.

Badass Empires may revise these terms of use for its website at any time without notice. By using the Site, you are agreeing to be bound by these Terms and Conditions of Use.

10. Limitation of Liability and Indemnity.

In no event shall Badass Empires or its affiliates be liable for any damages arising out of the use or inability to view or use the materials or content on the Site, even if Badass Empires has been notified orally or in writing of the possibility of such damage.

11. Governing Law.

Any claim relating to Badass Empires website shall be governed by the laws of New Zealand without regard to its conflict of law provisions.

12. Indemnity.

As a condition of your use of the Site, you hereby indemnify Badass Empires and its directors and affiliates from and against any and all liabilities, expenses (including legal fees) and damages arising out of claims resulting or arising from your use of this Site.

13. Call Recording Disclaimer.

Calls from group coaching programmes will be stored within an online portal for current and future students to watch. In attending these calls you consent to the recording, storage and sharing of these calls within the Badass Empires community. Private coaching calls may be recorded, and provided to you. 

14. Inappropriate conduct.

Badass Empires fully reserves the right to remove, block, and delete your access to their social media accounts, groups, courses and programs in response to inappropriate conduct, including but not limited to; abusive, hateful or offensive comments, remarks of a sexual nature, or causing discomfort to the team or fellow students in any other way. You will not be refunded following the removal of a program or course for this reason.
